This TERMS OF USE AGREEMENT, also known as the "agreement", establishes the agreement between CorpWorld, Inc., also known as "we" and "CorpWorld", and you, also known as the "user". Please read this agreement in it's entirety as it governs the use of this site by you. You may not access or use this site if you disagree with any portion or content thereof of this TERMS OF USE AGREEMENT. By use of or access of this site, you are agreeing with the terms herein. Please note that when the term "including" is used in this agreement it shall be followed by the words "without limitations".

The information contained herein this site is for informational purposes only. We are not a law firm and our agents, representatives, employees, etc... cannot provide legal advise. Your use of this site does not constitute any type of attorney-client privelege between you and CorpWorld whatsoever. Any legal questions or concerns you may have should be directed to your attorney or legal counsel. We are a document filing service only and do not provide legal services. No warranties, expressed or implied, are given regarding the legal or other consequential loss from the use of the information contained herein, or our products and services.

Liability:

CorpWorld and it's agents shall not under any circumstances be liable for any damages of any kind arising out of, relating to, or in connection with the use or inability to use this site information without limitation to any liability as a publisher of information, reseller of products and services, for any defective products, for any inaccurate or incorrect information, for any unauthorized access to or disclosure of your transmissions or data, for statements of any third party on the site, or for any other matter relating to this site or any of it's linked sites. By use of this site you agree to CorpWorld, Inc.'s full, complete and comprehensive limitation of liability that applies to all damages of any kind without limitation to any direct, indirect, incidental, special or consequential damage without limitation to damages for loss of business, loss of profits, loss of good will, loss of data, cost of procuring replacement services, goods or information, and litigation. The products, services and information offered by CorpWorld would not be provided otherwise without this agreement. Due to the laws of some states that allow for the exclusion and / or exemption of certain damages, liability in those particular states is limited to amount allowed and permitted by law. Also, in accordance with the other information contained herein, your sole and exclusive remedy for any cause or claim is limited to the amount you paid for any product, information or service supplied to you by CorpWorld through your use of this web site and it's content. You agree to indemnify, defend and hold harmless CorpWorld and it's agents against any causes of action, losses, demands, expenses, and costs, including any reasonable attorney's fees, resulting or arising from or relating to your use of this site, any activity related to your account by you or any other person, any materials to submit, post or transmit through this site, your violation of this agreement, infringement or violation of any rights of another, or termination of your access to this information. By use of this site, you also agree that, if the registration or reservation of your company name is challenged and conflict arises with any third party, you will indemnify and hold CorpWorld harmless. You also agree that, if your agent, employee, representative, etc... purchased our services on your behalf, you are nonetheless bound to all terms and conditions setforth herein. You agree to release, indemnify, and hold CorpWorld, our employees, agents, officers, and directors harmless from all liabilities, clerical expenses, including attorney's fees, of third parties relating to or arising under the use of the products and services provided hereunder or your use of the services, including without liability infringement by you of any intellectual property or other proprietary right of any person or from the violation of any of our operating rules relating to the services we provide.

Law and miscellaneous:

By using this site, you agree to the exclusive jurisdiction of the state of Alabama and the appropriate courts having jurisdiction in the County of Talladega in the state of Alabama and agree that there will be no jurisdictional, venue or inconvenient forum objections to such courts. If any portion of this agreement be deemed unlawful or void by a court of competent jurisdiction, the enforcement of any and all remaining portions of this agreement shall not be affected. This agreement constitutes the full, complete, entire and only agreement between CorpWorld and it's users of the site with respect to the submect matter of this agreement. This agreement supercedes any other agreements, warranties, representations, and understandings, with respect to the subject matter of this agreement. You agree to review the information contained herein this agreement and by the use of CorpWorld's products, service, information, etc... deem it's acceptance of and agreement by your. CorpWorld may at any time, at it's sole discretion, amend these Terms of Use and will do so from time to time. The failure of CorpWorld to insist upon strict adherence to any term of this agreement shall not constitute a waiver of such term and shall not be considered a waiver of that party's right thereafter to insist upon strict adherence to that term or any other terms of this agreement. You agree that regardless of any statute or law to the contrary, any claim or action arising from or relating to the use of this site or the agreement must be filed within 7 days after such claim arose, or will be forever barred. All provisions of this agreement are for the benefor of CorpWorld as defined herein, and CorpWorld shall have the full right to enforce these provisions directly against you on it's own behalf. If the company name is unavailable, your sole remedy will be limited to the fees paid to CorpWorld. Typically, payments received via check, personal or company, require a ten(10) day clearing period. If for any reason pertaining to CorpWorld you are dissatisfied after your order has been processed, a $100.00 service fee will be retained by CorpWorld and the remainder refunded to you. If CorpWorld has not begun processing the order, a $50.00 service fill will be retained by CorpWorld and the remainder refunded to you. Any and all fees paid to any Secretary of State and or Shipping and Handling cannot and will not be refunded under any circumstances.

If you have any reservations to or any dis-agreements with the content of this Terms of Use Agreement, you should not order our products or services and not use our information. Again, without this agreement, CorpWorld would not offer these products and services.
